Terms of Service

Version 1.3 - last updated 2 November 2026

These Terms are the contract between you and KUZUB LTD for the use of CutMeter. Please read clause 11 (Results, Quotes and corrected Files are calculations, not advice), clause 7.5 (files you must not upload) and clause 17 (liability) with particular care.

1. Who we are and what these Terms cover

1.1 CutMeter is an online service for businesses that cut sheet material by laser, plasma, waterjet or CNC router. It measures drawing files, checks them before cutting and, in Pro, corrects them and calculates prices using the rates of the business that uses it. Through CutMeter Orders (clause 24) it also connects people who need parts cut with verified cutting shops.

1.2 CutMeter is provided by KUZUB LTD, a private limited company registered in Scotland with company number SC890997, whose registered office is at Suite 2/3, 48 West George Street, Glasgow, G2 1BP, United Kingdom ("KUZUB", "we", "us" and "our").

1.3 These Terms consist of this document, the Data Processing Agreement and the Refund Policy. The Data Processing Agreement and the Refund Policy form part of these Terms. Our Privacy Notice and Cookie Policy explain how we use personal data and cookies; they are information, not contract terms.

1.4 You accept these Terms when you first upload a File, create an Account or subscribe to Pro, whichever happens first. If you do not accept these Terms, you must not use the Service.

1.5 If you use the Service for a business, that business is the Customer and is bound by these Terms, and you confirm that you are authorised to accept them on its behalf.

1.6 These Terms are the "Supplier Agreement" referred to in the Paddle Buyer Terms under which you buy Pro (clause 6).

3. Who may use CutMeter

3.1 You must be at least 18 years old to use the Service.

3.2 The Service is designed for businesses, and Pro is offered for use in a trade, business, craft or profession. If you are nevertheless a Consumer, these Terms apply to you with the changes that they state for Consumers, and nothing in these Terms limits the rights that consumer law gives you.

3.3 Pro is not available to anyone located in the United States of America or to any Customer whose billing address is in the United States of America. You must not buy Pro, or use Pro Features, while you are in the United States of America. If the billing address recorded for a purchase of Pro is in the United States of America, the subscription is cancelled with immediate effect, Pro is not activated and the full amount paid is refunded. The Free Tools remain available.

3.4 We do not provide the Service to anyone located in Russia, Belarus, Iran or North Korea, or in a territory of Ukraine that is not under the control of the Government of Ukraine, or to anyone acting for such a person. You confirm that you are not, and are not owned or controlled by or acting for, a person who is subject to sanctions imposed by the United Kingdom, the European Union or the United Nations.

4. Your Account

4.1 You can open an Account with a sign-in link sent to your email address or with Google sign-in. The information you give us when you open the Account must be true, and you must keep it up to date.

4.2 Anyone who controls your email account or your Google account can sign in to your Account. You must keep them secure and must not share sign-in links. If you believe that someone else has accessed your Account, tell us without delay at support@cutmeter.com.

4.3 You are responsible for everything done in your Account, except to the extent that it is caused by our breach of these Terms.

4.4 You can delete your Account at any time in the Account settings. Deletion cancels Pro with immediate effect and is permanent. Clause 8.4 explains what happens to Customer Content, and the Refund Policy explains when a refund is due.

5. The Free Tools

5.1 The Free Tools can be used without an Account. They measure a File (cut length, number of pierces, closed contours and open chains, area, overall size and weight for the material you select) and check it for problems that affect cutting, such as gaps, duplicates and unclosed contours.

5.2 The maximum size of a File is shown on the upload page; on the date of these Terms it is 20 MB. To protect the Service, we may limit the number of Files that one connection or one Account can process in a given period. When a limit applies, the Service tells you.

5.3 The Free Tools are provided without charge. Clause 14 explains how we may change or withdraw them.

6. Pro: subscription, price and payment

6.1 Pro gives access to the Pro Features for the Subscription Period that you choose: one month or one year.

6.2 The price of Pro is EUR 12 per month or EUR 96 per year, excluding VAT and other taxes, and is the same in every country where Pro is sold. Paddle adds the taxes that apply to your purchase, based on your location and on whether you give a valid VAT or other tax number. The total amount, including taxes, is shown in the checkout before you pay.

6.3 Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. This means that Paddle sells Pro to you under the Paddle Buyer Terms, takes your payment, issues your invoices and handles enquiries about orders, payments, invoices, taxes and refunds, while we provide the Service and handle all other enquiries about CutMeter. Paddle uses your payment details under its own privacy notice; we never receive your full card details.

6.4 Pro renews automatically at the end of each Subscription Period for a further period of the same length, at the price that applies under clause 6.6, until you cancel. Paddle charges your payment method at the start of each Subscription Period. We send you a reminder by email at least 7 days before each renewal of an annual subscription.

6.5 You can cancel Pro at any time on the subscription page of your Account or through the link in any email from Paddle about your subscription. Cancellation takes effect at the end of the current Subscription Period: you keep Pro until then and you are not charged again. Refunds are given only as the Refund Policy states.

6.6 We may change the price of Pro for future Subscription Periods. We will tell you by email at least 30 days before the renewal at which a new price first applies, and you can cancel before that renewal under clause 6.5. A price change never applies to a Subscription Period that you have already paid for.

6.7 If Paddle cannot collect a renewal payment, Pro continues while Paddle retries the payment. If the payment has not been collected when Paddle's retry period ends, Pro ends.

6.8 We may give Pro without charge under a separate written arrangement or as the thank-you described in clause 10.6. These Terms apply to Pro given without charge, except the provisions about payment, and it lasts for the period stated in that arrangement or in clause 10.6.

7. Your Files and other Customer Content

7.1 You, or your Clients and other owners, keep all rights in Customer Content. We do not become the owner of any Customer Content. The Output belongs to you, except the CutMeter software, templates and design elements that the Service uses to produce it, which remain ours and which you may use as part of the Output.

7.2 You grant us a non-exclusive, royalty-free licence to copy, store, process, display and transmit Customer Content for as long as we hold it under clause 8.4, only to provide the Service to you, to keep the Service secure, to comply with law and as clauses 8.6, 9 and 10 describe. The licence includes the right for our Sub-processors, as defined and listed in the Data Processing Agreement, to do these things on our behalf. When you share a link to a Quote, the licence includes showing that Quote to anyone who opens the link.

7.3 For each File and all other Customer Content that you upload or enter, you confirm that: (a) you own it, or its owner has permitted you to upload it and to have it processed by the Service as these Terms describe; (b) uploading it does not breach any duty of confidence, contract or law that binds you, including your obligations to your Clients; (c) where it contains personal data, you have a lawful basis for having us process that data and you have given the people concerned the information that the law requires; and (d) it is not a Classified File.

7.4 Drawings that you receive from Clients often belong to them and are confidential to them. Before you upload such a drawing, make sure that your arrangement with the Client allows you to have it processed by a software service provider such as us.

7.5 You must not upload: (a) a Classified File; (b) a File that contains malware or code designed to damage, disrupt or gain unauthorised access to any system; (c) material that is unlawful or infringes the rights of any person; or (d) special category personal data or personal data relating to criminal convictions and offences, as defined in data protection law.

7.6 The Service checks every File for state and defence security classification markings, such as «цілком таємно», «таємно», «для службового користування», «ДСК», TOP SECRET, SECRET, NATO SECRET, NATO CONFIDENTIAL, NATO RESTRICTED, RESTRICTED, OFFICIAL-SENSITIVE, VS-NfD, GEHEIM, TAJNE and ZASTRZEŻONE. When the Service detects such a marking, it stops processing the File, deletes it at once and keeps no copy, Results, Technical Statistics or support record of it; it records only the fact that a File was blocked. A blocked File cannot be sent to support or contributed to the Engineering Library, and we cannot unblock it. The Service also checks every File for commercial confidentiality markings, such as CONFIDENTIAL, PROPRIETARY, DO NOT COPY and TRADE SECRET. A File with such a marking is processed normally, but it cannot be sent to support under clause 9 or contributed to the Engineering Library under clause 10. These checks do not make it lawful to upload a Classified File: clause 7.5 applies whether or not a marking is detected.

7.7 The Service is not a storage or backup service. Files are deleted automatically under clause 8.4, so you must keep your own copy of every File and every Output that you need.

8. How we handle Customer Content

8.1 We keep Customer Content confidential and do not disclose it to anyone except: (a) our Sub-processors listed in the Data Processing Agreement, who are bound by obligations of confidentiality and data protection; (b) the people with whom you share it, such as a Client who opens a link to a Quote or the Partner Shop to which you send an order request under clause 24; and (c) a court or authority that requires disclosure by law, in which case we tell you before we disclose unless the law forbids it.

8.2 The Service processes Customer Content automatically. Our staff do not open Files or other Customer Content except: (a) a File that you send to support under clause 9; (b) where this is necessary to investigate a security incident, a report under clause 19 or a breach of clause 7.5 or clause 12; or (c) the de-identified geometry of Contributed Files, for the checks described in clause 10.3 and the purposes described in clause 10.4. We record each such access in an access log stating the date, the person and the reason.

8.3 We use Customer Content only to provide the Service to you, to keep the Service secure and to comply with law, and in the ways set out in clauses 8.6, 9 and 10. We use your Rate Cards only to calculate your own Quotes. We do not sell Customer Content, and we do not use it to train machine-learning models except as clause 10 allows for Contributed Files.

8.4 Customer Content is kept and deleted as follows:

  • Files, and the previews, Results and links derived from them, expire 24 hours after upload unless you add them to a Saved Order. After expiry they can no longer be opened through the Service, and our storage provider permanently deletes them, normally within the following 24 hours.
  • Saved Orders, Rate Cards, logos and other Customer Content in your Account are kept until you delete them or your Account is deleted.
  • When your Account is deleted, we delete the Customer Content in it within 30 days. Copies in our encrypted backups are overwritten within a further 30 days and are used in the meantime only to restore the Service after an incident.
  • Files sent to support are kept as clause 9.4 states, the de-identified geometry of Contributed Files as clause 10.7 states, and Files and requests sent through CutMeter Orders as clause 24.6 states.
  • If an Account has had no sign-in for 24 months and has no active Pro subscription, we may delete it after notifying you by email at least 30 days in advance.

8.5 We protect Customer Content with the technical and organisational measures described in the Data Processing Agreement, including encryption in transit and at rest and separation of each Account's data.

8.6 To keep the Service reliable, compatible and secure, the Service records anonymous Technical Statistics about each processed File, limited to: the number of drawing entities of each type; file size; DXF version, code page and units; the type of CAD program, chosen from a fixed list; error and problem codes and their counts; the number of contours; a range, not the exact value, of the total cut length; processing time; and the date, without the time. Technical Statistics never include geometry, coordinates, text, names, signatures, author or file properties, unique file identifiers, layer, block or file names, hashes of the File, IP addresses or any identifier of you, your Account or your Clients, and they are not linked to your Account. Technical Statistics belong to us. We publish or share them only as totals or averages covering at least 10 Files.

8.7 The Service also records Usage Events: which function was used and when; the file size; the processing time; whether processing succeeded and, if not, the error code; the number of drawing entities and of problems found; sign-ups; the start of Pro; the creation of Quotes; and the country of your network connection, but not your IP address. For a visit from another website, they also record whether it came from a search engine, an AI assistant or another website and, for search engines and assistants that we list, their name, but not the address of the page you came from. Usage Events contain no content of Files. When you are signed in, Usage Events are linked to your Account. The Privacy Notice explains how we use and keep them.

9. Sending a File to support

9.1 If a File causes an error or a Result that you believe is wrong, you can send that File to our support team with the "Send to support" button. You decide File by File: nothing is sent unless you press the button for that File.

9.2 When you send a File, we receive the File, its Results and the error details. Only members of our support staff who are bound by obligations of confidentiality can open them, and each access is recorded in our access log.

9.3 We use a File sent to support only to answer your request and to correct the fault that it shows. We do not use it to train machine-learning models and we do not add it to the Engineering Library. To stop the fault from returning, we may write our own test file that reproduces the technical fault; such a test file does not reproduce the shape or design of your drawing.

9.4 We keep a File sent to support until we tell you that your request is resolved, and we delete it within 30 days after that. Clause 8.4 applies to backup copies.

9.5 Send only Files that you are allowed to share with your software provider. Clause 7.3 applies to every File sent to support. A File that is blocked under clause 7.6, or that has a commercial confidentiality marking described in clause 7.6, cannot be sent.

10. Contributing Files to the Engineering Library

10.1 Contributing Files is optional and is switched off by default. A File is contributed only if: (a) you have switched on contribution in your Account settings; and (b) you have ticked "Contribute" for that File and given the confirmation in clause 10.2. If you do neither or only one of these, the File is not contributed.

10.2 By ticking "Contribute" for a File, you confirm that: (a) the File is your own design, or its owner has agreed in writing that it may be given to a software provider for the purposes described in clause 10.4; (b) the File is not confidential to any person who has not given that agreement; and (c) it is not a Classified File. We record your confirmation with the date and the version of these Terms.

10.3 Before a Contributed File is stored in the Engineering Library, the Service removes all text, dimensions, title blocks, attributes, images, embedded objects, file properties, author and other header data, layer, block and style names, references to other files and all paper space content, and keeps only the cutting geometry. We check samples of the Engineering Library for any personal data that remains and delete any that we find. A File that has a commercial confidentiality marking described in clause 7.6 cannot be contributed.

10.4 We use the Engineering Library only to develop, train and test KUZUB software that reads, checks and repairs drawings, including the software that runs CutMeter. We never use it to calculate or predict prices, never publish Contributed Files and never give them to anyone except our Sub-processors under obligations of confidentiality.

10.5 For each Contributed File you grant us a non-exclusive, worldwide, royalty-free licence to copy, store and analyse its de-identified geometry for the purposes described in clause 10.4, and to create from it models, statistics and test cases that do not reproduce the File. Our right to keep the de-identified geometry ends when it is deleted under clause 10.7 or clause 10.8. Models, statistics and test cases created before then remain ours and may continue to be used.

10.6 When the first Contributed File of an Account is stored in the Engineering Library, the Account receives one month of Pro without charge. If the Account has paid Pro at that time, its current Subscription Period is extended by one month without charge instead. This thank-you is given once per Account and never per File, and you keep it if you later switch contribution off.

10.7 You can switch contribution off at any time in your Account settings; deleting your Account has the same effect. Within 30 days after that we delete the de-identified geometry of all your Contributed Files from the Engineering Library, and from then on we do not use it to train or test any software. Models trained before that date are not retrained or deleted.

10.8 If a person tells us at legal@cutmeter.com that they own the design in a Contributed File and did not agree to its contribution, and gives us a copy of the drawing or the date of contribution and the name of the contributing Customer, we remove the geometry of that File from the Engineering Library within 10 Business Days.

11. Results, Quotes and corrected Files are calculations, not advice

11.1 The Service is a calculation tool. Results, Quotes and corrected Files are produced automatically from the File and the data that you enter. Their accuracy depends on the File (including its geometry, units and layers), on the material, thickness, density and tolerance that you select and on your Rate Cards.

11.2 Before you use any Output to give a price to a Client, to order material, to plan production or to cut, you must check it. In particular: (a) check that the units and scale are right; the Service treats a File without units as being in millimetres and tells you so; (b) check the list of objects that the Service did not count, such as text, dimensions and hatching; (c) open and check every corrected File before cutting, because automatic correction changes geometry, for example by closing gaps and removing duplicate lines within the tolerance that you set; and (d) note that weights are calculated from the nominal density of the selected material and may differ from actual weights.

11.3 Equivalences between material grades shown by the Service, for example between EN, AISI and DSTU designations and marked "≈", are for orientation only and do not mean that the grades are interchangeable.

11.4 You set your own rates and prices. A Quote is your own calculation made with your Rate Cards. It is not a price offered by us, and we do not guarantee that any price is correct, competitive or profitable. Quotes and PDF documents that you give to Clients are issued by you and in your name, and we are not a party to any contract between you and a Client.

11.5 Where the Service uses cutting speeds, pierce times or figures from machine reports, it uses the data in your Rate Cards and reports. It does not know the condition or the settings of your machine.

11.6 The Service does not give engineering, design, manufacturing or legal advice, and it does not design or approve parts. Every decision about the design, manufacture and price of a part is yours.

12. Acceptable use

12.1 You must not, and must not help anyone else to:

  • copy, modify, decompile, disassemble or reverse engineer any part of the Service, or try to discover its source code, algorithms or calculation methods, except to the extent that the law allows this despite this clause;
  • access the Service by scripts, bots, scrapers or other automated means instead of a browser operated by a person, or submit Files in bulk to collect Results for building a dataset, a model or a competing product;
  • get around or interfere with any limit, security measure, the check in clause 7.6 or the restrictions in clauses 3.3 and 3.4;
  • overload or disrupt the Service, or test its vulnerability without our prior written permission;
  • resell or sublicense access to the Service; or
  • use the Service in breach of any law or of the rights of any person.

12.2 If you breach clause 12.1, we may act under clause 15.

13. Our rights in CutMeter and third-party names

13.1 The Service, its software (including the calculation engine), its design and texts, and the names CutMeter and KUZUB and our logos belong to us or our licensors. These Terms give you the right to use the Service as they describe and no other right.

13.2 All rights in suggestions and feedback that you give us about the Service, other than Customer Content, belong to us, and you assign to us any rights that you have in them. We may use them without any obligation to you.

13.3 The Service includes open-source components that are licensed under their own licences. For those components their licences prevail, and nothing in these Terms limits the rights that those licences give you.

13.4 AutoCAD is a trademark of Autodesk, Inc. TRUMPF is a trademark of TRUMPF SE + Co. KG. CypCut, CypNest and FSCUT are designations used by Shanghai BOCHU Electronic Technology Co., Ltd. DXF and DWG are referred to only as names of file formats. Other names of products, programs and machines are referred to only to identify them and the files that they use. Neither KUZUB nor CutMeter is affiliated with, endorsed by or sponsored by any of these companies.

14. Availability and changes to the Service

14.1 We do not promise that the Service will be available at all times or free from errors. We may interrupt the Service for maintenance, updates and security measures. If planned maintenance will make the Pro Features unavailable for more than 2 hours, we announce it on the Service at least 24 hours in advance.

14.2 We may change the Service, including by adding, changing or removing functions. If we remove a Pro Feature, we tell Pro subscribers by email at least 30 days in advance. If you do not accept the change, you can cancel Pro before it takes effect and receive a refund of the price paid for the unused part of your Subscription Period, calculated in whole days.

14.3 We may change or withdraw any Free Tool at any time.

14.4 If we decide to stop providing the Service altogether, we tell you by email at least 60 days in advance, and clause 16.3 applies.

14.5 Every Result and Quote records the version of the calculation engine that produced it. The same File processed by the same version of the engine with the same settings gives the same Results.

15. Suspension and ending these Terms

15.1 You can stop using the Service at any time. If you have an Account, these Terms end when you delete it.

15.2 We may suspend your access to your Account, to Pro or to the Service with immediate effect if: (a) you breach clause 3.3, clause 3.4, clause 7.5 or clause 12; (b) we must do so to comply with law or with an order of a court or authority; (c) your use of the Service puts the security of the Service or of other users at risk; or (d) a payment for your Pro subscription is reversed through a chargeback. We tell you the reason when we suspend, unless the law forbids it or telling you would put security at risk, and we lift the suspension when the reason for it no longer applies.

15.3 We may end these Terms and delete your Account: (a) with immediate effect, by email, if you breach clause 3.4 or clause 7.5(a); (b) with immediate effect, by email, if you breach clause 3.3, any other part of clause 7.5 or clause 12 and do not stop within 7 days after we ask you to; or (c) for any other reason, by giving you at least 60 days' notice by email.

15.4 When these Terms end, your right to use the Service and Pro ends, and Customer Content is deleted as clause 8.4 states, subject to clause 16. If we end these Terms under clause 15.3(c), or if we stop providing the Service, the price paid for the unused part of your Subscription Period is refunded, calculated in whole days. If we end these Terms under clause 15.3(a) or clause 15.3(b), no refund is due except where the law requires one.

15.5 Clauses 7.1, 8.6, 10.5, 13, 17, 18, 22 and 23, and any other provision that by its nature is intended to continue, continue to apply after these Terms end.

16. Exporting your data and switching provider

16.1 You can export Customer Content from your Account at any time and without charge, whether or not you have Pro: Files and corrected Files in DXF format, Results and Quotes in CSV and PDF formats, and Rate Cards and Saved Orders in CSV or JSON format.

16.2 If you want to move to another provider, you can export your Customer Content under clause 16.1 at any time, without notice and without any switching charge, and we answer questions about the export formats sent to support@cutmeter.com. Your Account stays open until you delete it. Technical Statistics, Usage Events, the Engineering Library and models and software created by us are data specific to the internal functioning of the Service and are not exported; personal data in Usage Events is available to you under the Privacy Notice.

16.3 If we end these Terms under clause 15.3(c) or stop providing the Service, you can export Customer Content during the whole of the notice period, and we delete it only after that period ends.

17. Liability

17.1 Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that the law does not allow to be excluded or limited, including liability for intentional acts or gross negligence where Regulation (EU) 2023/2854 (the Data Act) applies to these Terms.

17.2 If you are a Business Customer, we are not liable to you, whether in contract, in delict (including negligence), for breach of statutory duty or otherwise, for: (a) loss of profit, revenue, business, contracts, goodwill or anticipated savings; (b) loss resulting from a price that you quoted, material that you ordered or a part that you cut, where the checks described in clause 11.2 would have revealed the error; (c) loss or corruption of data that could have been restored from your own copy (clause 7.7); (d) loss caused by Paddle, which is responsible to you under the Paddle Buyer Terms; or (e) loss caused by an event described in clause 22.4.

17.3 If you are a Business Customer, our total liability to you for all claims arising out of or in connection with these Terms, whether in contract, in delict (including negligence), for breach of statutory duty or otherwise, is limited to the greater of: (a) EUR 100; and (b) the total price, excluding taxes, paid for your Pro subscription in the 12 months before the event that gave rise to the first claim.

17.4 If you are a Consumer, we are responsible for loss or damage that you suffer which is a foreseeable result of our breach of these Terms or of our failure to use the care and skill that the law requires. Loss is foreseeable if it was obvious that it would happen or if, when you accepted these Terms, both you and we knew that it might happen. We are not responsible for loss that is not foreseeable, and we are not liable to you for any loss of profit, loss of business, business interruption or loss of business opportunity. If digital content that we supply damages your device or other digital content because we failed to use the care and skill that the law requires, we will either repair the damage or compensate you for it.

18. Claims from third parties

18.1 If you are a Business Customer, you must indemnify us against all losses, damages, legal fees and expenses and amounts payable to third parties that we incur because of a claim by a third party arising from: (a) your breach of clause 7.3, clause 7.5 or clause 10.2; or (b) a Quote or other Output that you gave to a Client.

18.2 We tell you about the claim in writing within 30 days after we receive it and give you the information that we hold about it. If we settle the claim without your written consent, you are not liable under clause 18.1 for the amount of that settlement. Clause 18.1 does not apply to the extent that the loss was caused by our breach of these Terms.

18.3 Your total liability under clause 18.1 is limited to EUR 10,000, unless you knew, when you uploaded or contributed the File concerned, that you were not entitled to do so or that it was a Classified File.

19. Reports of illegal content and our decisions

19.1 We do not monitor Customer Content generally. We act on reports made under clause 19.2 and on the automatic check described in clause 7.6, which blocks Files without human review.

19.2 Anyone can report content on the Service that they believe is illegal, including a Quote shown through a shared link, by email to legal@cutmeter.com. The report should explain why the content is believed to be illegal, identify the content (for example by its link), give the name and email address of the person reporting and confirm that the report is accurate and made in good faith.

19.3 We confirm receipt of each report and decide on it within 10 Business Days, and we tell the person who reported what we decided.

19.4 If we remove or disable access to content, suspend an Account or end these Terms because content is illegal or breaches these Terms, we give the Customer concerned a statement of the reasons and of the facts on which the decision is based, unless the law forbids it.

19.5 A Customer or a person who made a report can complain about our decision by email to legal@cutmeter.com within 6 months after being told of it. A person, not an automated system, reviews each complaint, and we reply within 10 Business Days.

19.6 legal@cutmeter.com is our single point of contact for authorities of the United Kingdom and of the member states of the European Union, for the European Commission and for users of the Service. You may write to us in English or in any other language in which the Service is offered.

20. Changes to these Terms

20.1 We may change these Terms. We publish each new version on the Service with its version number and date.

20.2 If a change reduces your rights or increases your obligations, we tell Account holders by email at least 30 days before it takes effect. If you do not accept the change, you can delete your Account, or cancel Pro, before the change takes effect; if you cancel Pro for this reason, the price paid for the unused part of your Subscription Period is refunded, calculated in whole days. If you continue to use the Service after the change takes effect, the new version applies to you.

20.3 Changes required by law or by an order of a court or authority, and changes needed to deal with a security risk, take effect on the date stated in the new version, which may be the date of publication. Any other change that does not reduce your rights or increase your obligations takes effect on publication.

20.4 If you use the Free Tools without an Account, the version of these Terms in force when you upload a File applies to that use.

21. Support, complaints and notices

21.1 For questions about the Service, write to support@cutmeter.com or call us on the telephone number shown on the Contact page of the Service. For questions about orders, payments, invoices, taxes and refunds, contact Paddle through the link in your Paddle receipt; you can also write to us and we will pass your request to Paddle.

21.2 You can make a complaint by email to support@cutmeter.com. We acknowledge it within 2 Business Days and send you a full reply within 14 days. If you are a Consumer and we cannot resolve your complaint, we tell you in writing the name and website of an alternative dispute resolution body and whether we agree to use it.

21.3 We send notices to you by email to the address of your Account, or, if you do not have an Account, by publishing them on the Service. An email notice is treated as received on the Business Day after it is sent. You send formal notices to us by email to legal@cutmeter.com or by post to our registered office stated in clause 1.2.

22. General

22.1 These Terms, together with the documents listed in clause 1.3 as forming part of them, are the entire agreement between you and us about the Service and replace any earlier statements about it. If you are a Consumer, information that we gave you before you accepted these Terms and that the law treats as a term of the contract also forms part of it.

22.2 We may transfer our rights and obligations under these Terms to another company that takes over the Service, and we tell you by email when we do so. A transfer does not reduce your rights under these Terms. You may not transfer your rights or obligations under these Terms without our written consent.

22.3 No person other than you and us has any right to enforce these Terms, and no third-party right is created under the Contract (Third Party Rights) (Scotland) Act 2017.

22.4 Neither of us is in breach of these Terms for any delay or failure caused by an event beyond its control, including a failure of the internet, of electricity supply or of a data centre or service provider, a cyber-attack that the measures described in the Data Processing Agreement could not prevent, war, hostilities, terrorism, civil unrest, epidemic, fire, flood, a strike not involving its own staff, or an act of government. The party affected tells the other about the event and resumes performance as soon as the event ends.

22.5 If a court decides that a provision of these Terms is invalid or unenforceable, the provision applies to the extent that it is valid and enforceable, and the rest of these Terms remains in force.

22.6 If we delay or do not enforce a right under these Terms, we do not give up that right.

22.7 These Terms are written in English. We may publish translations; if a translation differs from the English version, the English version prevails, unless the law of the country where you have your habitual residence requires the translation to prevail.

22.8 These Terms are concluded in electronic form. You can save and print them from the Service. We keep each version of these Terms and a record of when each Account accepted it.

23. Law and courts

23.1 These Terms, and any non-contractual obligation arising out of or in connection with them, are governed by the law of Scotland.

23.2 If you are a Business Customer, the courts of Scotland have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

23.3 If you are a Consumer, you keep the protection of the mandatory provisions of the law of the country where you have your habitual residence. You may bring proceedings in the courts of Scotland or in the courts of the country, or of the part of the United Kingdom, where you have your habitual residence, and we may bring proceedings against you only in the courts of that country or part.

24. CutMeter Orders

24.1 CutMeter Orders lets a person who needs parts cut (a Buyer) upload Files, see an indicative price from each Partner Shop and send an order request to the Partner Shop that the Buyer chooses. A Partner Shop is a Customer with Pro that has published a shop profile and a public Rate Card on the Service and that we have verified under clause 24.9. CutMeter Orders is free of charge for Buyers and is part of Pro for Partner Shops; we charge no commission on orders.

24.2 We are an intermediary. We do not make, sell or deliver parts, we are not a party to any contract between a Buyer and a Partner Shop, and we do not take or hold any payment for parts. The contract for the parts is made directly between the Buyer and the Partner Shop, on the terms that they agree, when the Buyer accepts the Partner Shop's confirmed offer. The Partner Shop is responsible to the Buyer for the parts, their price, quality and delivery, and for its obligations under consumer law.

24.3 An indicative price is calculated automatically from the measurements of the Buyer's Files and the material, thickness and quantity that the Buyer selects, using the public Rate Card and the standard lead time of each Partner Shop. It is an estimate, not an offer by us or by the Partner Shop. The Partner Shop checks the Files and confirms or changes the price and the ready date; only the price and date that the Partner Shop confirms on the request page form its offer. Clause 11 applies to indicative prices as it applies to Quotes.

24.4 The main parameters that determine the order in which offers are shown to a Buyer are, in this order of importance: (a) whether an indicative price could be calculated; offers without one, because the Partner Shop has published no rate for the selected material and thickness or because its maximum sheet is smaller than a part, are shown last; (b) whether the price is in the currency of the Buyer's country; (c) the total indicative price, including VAT where the Partner Shop charges it, lowest first; (d) the Partner Shop's standard lead time, shortest first; and (e) the name of the Partner Shop. Only Partner Shops in the Buyer's country are shown. The Buyer can re-sort the offers by lead time. When a Buyer opens CutMeter Orders from the page of a particular Partner Shop, that Partner Shop's offer is shown first and is marked as such. No Partner Shop can pay, or give anything else, to be ranked higher, and we give no Partner Shop preferential treatment.

24.5 When a Buyer sends a request, the Buyer's Files, the details of the parts and the Buyer's name, email address, telephone number, city, choice of delivery, desired date and comment are sent, with the Buyer's agreement, to the chosen Partner Shop only. The Partner Shop receives them as a controller in its own right and may use them only to answer the request, to perform the contract with the Buyer and to meet its legal obligations. We send the Buyer and the Partner Shop emails about the progress of the request, and the Buyer can follow it on a request page whose address is known only to the Buyer.

24.6 Files attached to a request are kept for 90 days after the request is sent and are then deleted. The request, its offer and its history are kept for 2 years after their last change, so that the Buyer and the Partner Shop can refer to them and we can deal with questions and complaints.

24.7 A Buyer confirms clause 7.3 for every File sent with a request, and clauses 7.5 and 12 apply to the Buyer. A Buyer can cancel a request on the request page until the Buyer accepts an offer. Nothing in CutMeter Orders obliges a Buyer to accept an offer or to pay before accepting one. A Buyer who is a Consumer keeps every right that consumer law gives against the Partner Shop.

24.8 A Partner Shop must: (a) give true and complete information in its shop profile and keep it up to date; (b) keep its public Rate Card true, so that indicative prices calculated from it reflect the prices that it actually charges; (c) answer each request within a reasonable time, normally within 2 Business Days, by confirming a price and a ready date or by declining the request; (d) give Buyers the information that the law requires of a seller, including its identity and address and, where it applies, information about a Consumer's right to cancel; and (e) comply with data protection law in its use of Buyers' personal data.

24.9 Before a Partner Shop is shown to Buyers, we check its name, its registration number in the public register of its country, its address and its telephone number, and we ask for the other information about it that Article 30 of Regulation (EU) 2022/2065 (the Digital Services Act) requires where that Article applies. We keep that information for 6 months after the Partner Shop stops being a Partner Shop. We may refuse verification, or end it, if the information is false or incomplete. A Partner Shop that changes its public name or its registration number is verified again before it is shown to Buyers. Verification confirms the information about the Partner Shop; it does not guarantee the quality of its work.

24.10 A Partner Shop is shown to Buyers only while its Pro is active and its profile is set to accept orders. It can stop accepting requests at any time in its shop profile; requests already sent remain available to it and to the Buyer.

24.11 We may restrict or suspend a Partner Shop's profile if it breaches clause 24.8, if information about it proves false, or if Buyers report repeated serious problems with it, and we give it a statement of reasons when the restriction or suspension takes effect. We may remove a Partner Shop from CutMeter Orders by giving it at least 30 days' notice with a statement of reasons, or without notice where the law requires it, where it has repeatedly breached clause 24.8 or where the information about it was false. A Partner Shop can complain about these decisions, and about ranking and verification, under clause 19.5 or clause 21.2; we deal with such complaints free of charge.
